1. Acceptance of Terms

By accessing or using the services provided by ReplyReady ("we," "us," or "our") at https://replyready.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and ReplyReady. We may update these Terms from time to time; material changes will be communicated via email or an in-app notice. Continued use after changes are posted constitutes acceptance.

2. Service Description

ReplyReady provides an AI-powered receptionist and lead capture platform for small businesses. The Service includes:

  • AI voice agents (powered by VAPI) that answer phone calls, qualify leads, and schedule appointments on your behalf
  • A CRM dashboard for managing leads, call transcripts, and follow-ups
  • SMS notifications and lead alerts delivered via Telnyx from +1 (732) 394-1771
  • Booking link integration and lead capture forms
  • Industry-specific templates for 23+ business categories

3. Account Responsibilities

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@replyready.ai if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your credentials.

4. Subscription Plans and Billing

ReplyReady offers the following subscription tiers:

  • Solo: $79/month
  • Pro: $299/month
  • Business: $599/month
  • Enterprise: Custom pricing (contact sales)

Optional one-time add-ons: Accelerator Setup ($799) and Concierge Setup ($1,499). Annual billing is available at a discount (2 months free).

Free Trial: All plans include a 14-day free trial. No credit card is required to start a trial. If you do not subscribe before the trial ends, your account will be downgraded and access to paid features will be suspended.

Auto-Renewal: Subscriptions renew automatically at the end of each billing cycle. You may cancel at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

30-Day Money-Back Guarantee: First-time subscribers may request a full refund within 30 days of their initial paid subscription date. This guarantee applies once per customer and does not apply to renewals, upgrades, or Enterprise contracts. To request a refund, contact support@replyready.ai.

All payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on file for recurring subscription fees.

5. AI Disclosure Requirement

The Service deploys AI voice agents that interact with your callers and website visitors. As the business owner and account holder, you are solely responsible for informing your callers and customers that they may be speaking with an AI-powered agent, in compliance with all applicable federal, state, and local laws.

ReplyReady provides configurable greeting scripts that can include AI disclosure language. However, it is your obligation to ensure that the disclosure is adequate for your jurisdiction and industry.

6. HIPAA Disclaimer

ReplyReady is NOT a HIPAA-compliant service. While we offer industry templates for medical offices, dental practices, and other healthcare-related businesses, the Service is not designed, intended, or authorized to collect, store, process, or transmit Protected Health Information (PHI) as defined by the Health Insurance Portability and Accountability Act (HIPAA).

If you operate in the healthcare industry, you must not use the Service to collect PHI through AI voice agents, lead forms, or any other feature. You assume all liability for any HIPAA violations resulting from your use of the Service. ReplyReady will not enter into Business Associate Agreements (BAAs).

7. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Send unsolicited bulk messages (spam) via SMS or voice
  • Impersonate another person or entity, or misrepresent your affiliation
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use the Service for illegal telemarketing or robocalling
  • Collect Protected Health Information (PHI) or other regulated data categories that the Service is not designed to handle
  • Reverse engineer, decompile, or disassemble any part of the Service

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

8. SMS/Text Messaging Terms

ReplyReady sends SMS messages via Telnyx from the phone number +1 (732) 394-1771. By providing your phone number during account creation or through the Service, you expressly consent to receive SMS messages including but not limited to:

  • Lead alerts and notifications
  • Booking confirmation links sent to your leads
  • Follow-up drip sequences (Pro plan and above)
  • Account and billing notifications
  • Google review request links sent to your customers

Message Frequency: Message frequency varies based on your plan, settings, and call volume. Solo plan users may receive up to 50 SMS/month; Pro up to 200; Business up to 1,000. Your leads will receive messages based on the automations you configure.

Message and Data Rates: Standard message and data rates from your wireless carrier may apply to messages you send or receive.

Consent is Not Required for Purchase: You are not required to consent to receive SMS messages as a condition of purchasing or using the Service. You may disable SMS features in your notification settings at any time.

Opt-Out: You or your leads may opt out of receiving SMS messages at any time by replying STOP to any message from our number. A single confirmation message will be sent, and no further messages will be delivered to that number.

No Sharing: Your mobile phone number and the phone numbers of your leads will not be sold, rented, or shared with third parties for their promotional or marketing purposes.

9. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, and AI models — are owned by ReplyReady or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of the data you input into the Service (business information, lead data, custom scripts). We claim no ownership over your content. However, you grant us a limited license to process and store your data as necessary to provide the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLYREADY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO REPLYREADY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless ReplyReady, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including privacy rights
  • Any content or data you submit through the Service, including call scripts and lead data
  • Your failure to comply with AI disclosure requirements or HIPAA regulations

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

13. Dispute Resolution and Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration shall take place in Wilmington, Delaware, or remotely at the arbitrator's discretion. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis, not as a class, consolidated, or representative action.

Exception: Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement or unauthorized access.

14. Termination

We may suspend or terminate your account at any time, with or without cause, if we determine that you have violated these Terms or engaged in conduct that is harmful to the Service or other users.

You may terminate your account at any time by canceling your subscription and contacting support@replyready.ai. Upon termination, your right to use the Service ceases immediately. Data retention following termination is governed by our Privacy Policy.

15. Modification of Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service or via email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the effective date.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
